1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of skedule at https://skedule.xyz (the "Service"), operated by skedule("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of the Service

skedule is a web application that allows users to plan, schedule, and publish content to social media platforms. The Service includes account management, social media account connection, content scheduling, and automated publishing through authorized platform APIs at the times and with the settings you choose.

3. Eligibility

To use the Service, you must:

• Be at least 13 years old, or the minimum age required in your jurisdiction
• Meet the eligibility and age requirements of any social media platform you connect
• Have the legal capacity to enter into a binding agreement
• Provide accurate account information
• Comply with these Terms, applicable laws, and the terms, community guidelines, and policies of each connected social media platform

4. Account Registration and Security

You may need to create an account to use certain features. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us promptly at skedule-app@proton.me if you suspect unauthorized access to your account.

5. Social Media Platform Integration

To publish content through skedule, you must connect one or more social media accounts by authorizing our application through each platform's consent flow. By connecting an account, you grant skedule permission to access and use your account information and to publish content on your behalf in accordance with your instructions and the permissions you approve.

The specific permissions requested may vary by platform and are limited to what is necessary to identify your connected account, display basic profile information within the Service, and publish content when you schedule a post.

You may revoke skedule's access at any time by disconnecting an account in Settings or through the connected platform's account or app settings. We are not responsible for changes to any platform's API, policies, or availability.

6. User Content and Posting

You retain ownership of the content you upload or schedule through the Service ("User Content"). By using the Service, you grant us a limited license to store, process, and transmit your User Content solely to provide the Service, including publishing it to connected social media platforms on your behalf.

You are solely responsible for your User Content and for ensuring that:

• You have all necessary rights to publish the content
• Your content complies with the terms, community guidelines, and applicable policies of each platform where it is published, as well as applicable laws
• You manually select the publishing settings for each post, including privacy or visibility options and any platform-specific interaction preferences
• You provide accurate commercial content disclosures where required by a platform or applicable law

We do not review or endorse User Content and are not responsible for content published through your connected social media accounts.

7. Commercial and Branded Content

If your content constitutes paid partnerships, sponsored content, or other commercial material, you must comply with the branded content and disclosure requirements of each relevant social media platform. skedule may provide controls to help you indicate commercial content settings, but you remain responsible for ensuring your disclosures are accurate and complete.

8. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Upload or publish content that infringes intellectual property or other rights
• Publish spam, malware, or deceptive content
• Harass, abuse, or harm others
• Attempt to gain unauthorized access to the Service, other accounts, or connected platforms
• Reverse engineer, scrape, or abuse the Service or any connected platform API beyond permitted use
• Circumvent rate limits, security measures, or access controls
• Use the Service in a way that violates any platform's developer or integration policies

9. Third-Party Services

The Service integrates with social media platforms and other third-party services. Your use of those services is subject to their respective terms and policies. We are not responsible for third-party services, including platform availability, API changes, or content moderation decisions.

10. Service Availability and Changes

We strive to keep the Service available, but we do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue any part of the Service at any time, with or without notice. Scheduled publishing depends on third-party systems and your account settings; we are not liable for failed or delayed posts caused by factors outside our reasonable control.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, BE SECURE, OR BE FREE FROM ERRORS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SKEDULE AND ITS OPERATORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (USD $100) IF YOU HAVE NOT PAID US ANY FEES.

13. Indemnification

You agree to indemnify and hold harmless skedule and its operators from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your User Content, your connected social media accounts, or your violation of these Terms or applicable law.

14. Termination

You may stop using the Service at any time. We may suspend or terminate your access to the Service if we reasonably believe you have violated these Terms, misused the Service, or pose a risk to us, other users, or third parties. Upon termination, your right to use the Service ends, but sections that by their nature should survive will continue to apply.

15. Privacy

Our collection and use of personal information is described in our Privacy Policy. By using the Service, you also agree to our Privacy Policy.

16. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. Material changes may be communicated through the Service or by email where appropriate. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

17. Governing Law

These Terms are governed by the laws applicable in the jurisdiction where skedule operates, without regard to conflict of law principles. Any disputes will be subject to the exclusive jurisdiction of the courts in that jurisdiction, unless applicable law requires otherwise.
